3. Intellectual Property Rights

Our Intellectual Property

We own or are the licensee of all intellectual property rights in our services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and any trademarks, service marks, and logos ("Marks"). Our Content and Marks are protected by copyright, trademark, and other intellectual property laws in the U.S. and other jurisdictions. The Content and Marks are provided "AS IS" for personal, non-commercial use or internal business purposes only.

Your Use of Our Services

Subject to compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use our services. 7. Data Retention and Disposal

Data Retention

Customer data will be retained for as long as the Customer account is active or as necessary to fulfill contractual or legal obligations. Upon termination of your use of the services, ContractPower, Inc will retain Customer data for no longer than 30 days unless otherwise required by law or your written instructions. Any data retained beyond this period will be anonymized or securely destroyed in accordance with ContractPower’s Data Retention and Disposal Policy.

Data Disposal

Upon written request or termination of services, ContractPower will securely delete or destroy Customer data within 30 days. ContractPower may retain data necessary for compliance with legal obligations, resolution of disputes, or enforcement of these Terms, including proof of contract. Hosting and service providers are required to follow NIST Guidelines for Media Sanitization (NIST S.P. 800-88 Rev. 1) during data disposal.

8. Security and Compliance

Data Security Commitments

ContractPower implements and maintains administrative, physical, and technical safeguards to protect Customer data against unauthorized access, disclosure, alteration, or destruction. These measures include, but are not limited to:

  • Encryption of data in transit and at rest.
  • Continuous monitoring and auditing of systems to identify and mitigate vulnerabilities.
  • Incident response protocols to promptly address security breaches.

Compliance with Industry Standards

ContractPower adheres to recognized industry standards, including SOC2, to ensure the confidentiality, integrity, and availability of Customer data. ContractPower regularly undergoes audits and assessments to validate compliance with these standards and updates its practices as necessary to align with evolving legal and regulatory requirements.

Customer Responsibilities

Customers are responsible for:

  • Maintaining the confidentiality of their account credentials.
  • Ensuring secure use of the services.
  • Complying with applicable laws related to their data and use of the services.

9. Data Processing Addendum (DPA)

If you are a customer using our services to process personal data (for example, uploading or storing personal information about your employees, customers, or other individuals), we want to assure you that ContractPower will act in accordance with applicable data protection laws as a data processor on your behalf. We have a Data Processing Addendum (DPA) that further governs such processing of personal data. This DPA is hereby incorporated by reference into these Terms of Use. In other words, when we process personal data on your behalf, the terms of the DPA apply in addition to these Terms. The DPA is designed to meet the requirements of Article 28 of the GDPR and equivalent provisions of other data protection laws. It outlines our commitments to you, including (among other things) that we will:

  • Process data only on your instructions.
  • Implement appropriate security measures.
  • Maintain confidentiality.
  • Assist with compliance.
  • Notify you of data breaches.
  • Engage sub-processors with care.
  • Delete or return data upon termination.

10. Data Breach Notification (Customer Assurance)

Maintaining the security of our services is extremely important to us. In the event of a security breach that results in unauthorized access to or disclosure of personal data that you have provided to us, ContractPower will notify you without undue delay after becoming aware of the breach. Such notice will include, to the best of our knowledge at the time, a description of the nature of the breach and the data involved, the likely consequences, and the measures we have taken or plan to take to address the breach. We will use the contact information we have on file for your account to communicate this notice. Additionally, if the breach triggers any obligations under GDPR or other laws to notify regulators or affected individuals, we will fulfill those obligations as required. We will also reasonably cooperate with you in investigating and responding to the breach, in accordance with the terms of our DPA.

11. Privacy Policy Reference

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your personal information. Our Privacy Policy is incorporated by reference into these Terms of Use. By agreeing to these Terms or by using our services, you acknowledge that you have read and understood the Privacy Policy. ContractPower confirms it has implemented policies and measures to ensure compliance with these laws, such as data minimization, security safeguards, and honoring privacy rights. You agree to only upload or share personal data if you have the lawful right to do so. If either party discovers any situation that might conflict with data protection requirements, we shall inform each other and work together in good faith to resolve it.
